Music Production Project File License Agreement

Licensor: Mr. Bill’s Tunes, Inc. (“Licensor”)
Licensee: The individual or entity purchasing, downloading, or accessing the project files (“You” or “Licensee”).

By purchasing, downloading, or accessing the Content, You acknowledge that You have read, understood, and agree to be bound by this License Agreement.

1. Grant of License

The Licensor grants You a limited, non-exclusive, non-transferable, perpetual license to download, view, and study the included project files (“Content”) for educational and personal reference purposes only.

This license does not grant ownership, authorship, or publishing rights in the Content or any associated works.

2. Permitted Uses

You may:

  • Open, study, and learn from the project files to understand music-production techniques.

  • Use individual, non-melodic components (such as samples, one-shots, presets, or rack settings) in your own original compositions, provided they are substantially transformed and do not reproduce any original melodies, harmonies, chord progressions, or arrangements contained in the Content.

Limited “Flip” Exception

Mr. Bill’s Tunes, Inc. permits the creation of a “flip” of the licensed material under the following strict conditions. When all criteria below are met, such a flip will not be treated as an infringement or trigger a copyright claim:

  1. The flip must be released only on SoundCloud and/or Bandcamp.

  2. The flip must be non-commercial: it may not be sold, monetized, distributed via streaming services, or included in any paid or promotional product.

  3. The flip must be clearly credited in the track title as:

     [Original Track Title] (Artist Flip)
     and must not use the term “Remix.”

  4. The flip must not imply any endorsement, collaboration, or official release by Mr. Bill or Mr. Bill’s Tunes, Inc.

  5. The following statement must appear in the description field of the flip on SoundCloud and/or Bandcamp:

    “As per the Mr. Bill’s Tunes Project File License Agreement, this is not an official remix and is not affiliated in any way with Mr. Bill himself. Project files are available at mrbillstunes.com”

The Licensor reserves the right to revoke or modify this exception at any time and at its sole discretion if the privilege is misused or if any of the above conditions are not met.

3. Prohibited Uses

You may not:

  • Remix, re-record, reproduce, distribute, or release any derivative work based on or incorporating the original compositions, arrangements, or recordings in the Content.

  • Use any included melodies, chord progressions, or arrangement structures in released works.

  • Use or imply the name, likeness, voice, brand, or identity of Mr. Bill or Mr. Bill’s Tunes, Inc. for promotional, commercial, or crediting purposes (e.g., “featuring,” “co-produced by,” “endorsed by”).

  • Resell, redistribute, share, or publicly post the Content or any portion of it, in any form (including upload to file-sharing sites or sample libraries).

  • Use the Content, in whole or part, to train or feed any machine learning, AI model, or similar data-processing system.

  • Use the Content for any commercial exploitation, beyond personal study or incorporation of transformed sound elements as described above.

4. Ownership and Intellectual Property

All copyrights, neighboring rights, trademarks, and related intellectual property in the Content remain the exclusive property of Mr. Bill’s Tunes, Inc.
Nothing in this Agreement transfers ownership or any economic rights in the underlying music, composition, or audio materials.

5. Termination

This license terminates automatically upon breach of any term.
Upon termination, You must immediately delete all copies of the Content and any materials derived from it that violate these terms.

6. Modifications to Agreement

Mr. Bill’s Tunes, Inc. reserves the right to update or modify this License Agreement at its discretion at any time.
Continued possession or use of the Content after such updates constitutes acceptance of the revised terms.

7. Limitation of Liability

The Content is provided “as is” for educational use only.
The Licensor shall not be liable for any damages, claims, or losses arising from the use or misuse of the Content, including but not limited to data loss, commercial loss, or reputational damage.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia, United States of America, without regard to its conflict-of-law principles.
Any disputes shall be resolved in the competent courts of Georgia, and You consent to their jurisdiction.

9. Entire Agreement

This document constitutes the entire agreement between You and the Licensor with respect to the Content and supersedes any prior understandings or representations.
